Business Registration Rules in Kazakhstan from 2026
From 10 February 2026, amendments to the rules for providing public services in the field of state registration of legal entities and registration of branches and representative offices will come into force in the Republic of Kazakhstan. The amendments were approved by Order of the Minister of Justice of the Republic of Kazakhstan dated 23 January 2026 No. 72 and are aimed at clarifying and simplifying registration procedures, including those involving foreign persons.
Key Change
The main innovation concerns information on beneficial owners. From now on, applications for registration and re-registration of legal entities may indicate, in the section “Information on the Beneficial Owner”, the identification number of a foreign individual in their country of residence. Previously, companies with foreign participation often faced difficulties due to the absence of a Kazakhstani IIN/BIN for beneficial owners. The new rule reduces administrative barriers and makes the registration process more flexible for international businesses.
Which Application Forms Have Been Updated
In connection with the introduced amendments, the following application forms have been approved in a new version:
- Application for state registration of small and medium-sized business entities, as well as for opening a bank account and arranging compulsory insurance of an employee against accidents (except in cases where the founder(s) carry out activities without entering into labor relations with individuals);
- Application for state (accounting) registration of a legal entity, branch or representative office;
- Application for state registration of business partnerships operating on the basis of a standard charter;
- Application for state registration of a joint-stock company operating on the basis of a standard charter;
- Application for state registration of a production cooperative operating on the basis of a standard charter;
- Application for state registration of a medium-sized business entity, as well as for opening a bank account and arranging compulsory insurance of an employee against accidents (except in cases where the founder(s) of the legal entity carry out activities without entering into labor relations with individuals).

These changes are particularly important for companies with foreign founders or beneficial owners, for international holdings and startups entering the Kazakhstani market, as well as for businesses planning registration or re-registration after 10 February 2026. The ability to indicate a foreign identification number in the country of residence simplifies document preparation, reduces the risk of refusals or returns of applications by state authorities, and accelerates the state registration process.
