Changes in the Registration of Legal Entities
On November 21, 2025, the Ministry of Justice of the Republic of Kazakhstan approved amendments to the Rules for the Provision of Public Services in the field of state registration of legal entities and registration of branches and representative offices.
These updates are aimed at strengthening control, increasing transparency of procedures, and preventing misuse during company registration.
Mandatory Personal Presence of the Founder
One of the key changes is the introduction of a new requirement:
in certain cases defined by the internal control rules of the registering authority, state registration of commercial legal entities, as well as registration of their branches and representative offices, will only be carried out with the personal presence of the founder.
This measure is introduced to enhance financial monitoring and prevent the registration of companies that may fall into a high-risk category.
Confirmation of the Company’s Registered Address
When submitting an electronic application for legal entities that are subjects of private entrepreneurship, the registered address of the company, branch, or representative office must be confirmed by the property owner’s consent.
Verification of the address will now be carried out automatically through integration of state information systems. During the verification, the system identifies:
- whether the specified address exists in the “Address Register” database;
- the category of the real estate object in accordance with the Addressing Rules.
Re-registration of Legal Entities: Also with Personal Presence
The rules for re-registration of legal entities have also been supplemented with a new requirement:
in certain cases, the founder must be personally present during the re-registration procedure.
This aims to ensure data reliability and prevent fraudulent actions related to:
- change of founders,
- change of registered address,
- change of director,
- change of business activities.
Effective Date
All amendments come into force on April 1, 2026.
