Simplified IE Closure: Conditions and Liquidation Timeline

 

Kazakhstan continues to digitalize public services. As part of the implementation of the new Tax Code, an order of the Acting Minister of Finance of the Republic of Kazakhstan has been adopted to regulate business termination procedures. One of the key innovations is the fully automated closure of Individual Entrepreneurs (IEs) under a simplified liquidation procedure. Tax inspectors no longer participate in the liquidation process. All checks and decisions are carried out automatically by the information system, eliminating the human factor and significantly reducing processing times.

 

How Long Does It Take to Close an IE?

The entire simplified liquidation process takes approximately 13 to 15 days from the submission of documents until official deregistration.

 

Who Can Use the Simplified Liquidation Procedure?

The automated closure procedure is available to Individual Entrepreneurs (IEs) who simultaneously meet the following requirements:

  1. Not registered as a VAT payer;
  2. Not engaged in joint entrepreneurship;
  3. Not involved in certain licensed or specific types of activities;
  4. Have no tax arrears or outstanding social contribution payments;
  5. Have fully paid taxes for the period preceding liquidation;
  6. Have no outstanding tax authority notifications, including those related to desk audits;
  7. Have no active bank accounts.

If any of these conditions are not met, the system may reject the automatic closure application.

 

What Documents Must Be Submitted?

To liquidate an IE, the entrepreneur must electronically submit the following documents through the Taxpayer’s Cabinet:

  1. Tax application for termination of business activity;
  2. Liquidation tax reporting forms;
  3. Application for deregistration of a cash register, if applicable.

All documents are submitted electronically.

 

How Does the Automated Verification Work?

After submission, the ISNA information system automatically initiates the liquidation process.

Step 1. Status Assignment

Upon registration of the application, the IE receives the status “Under Liquidation”.

Step 2. Verification

Within 10 calendar days, the system checks:

  1. Tax debts;
  2. Outstanding social payments;
  3. Submission of liquidation reports;
  4. Taxpayer risk level;
  5. Compliance with legal requirements.

Step 3. Deregistration

If no violations are identified, the application receives the status “Processed”. The system then automatically removes the IE from the registration records within 3 business days.

 

Why Can the System Reject the Application?

The most common reason is an outstanding mandatory health insurance contribution for the month in which the liquidation application was submitted.

Many entrepreneurs believe all obligations have already been fulfilled, but after submission the system may detect unpaid mandatory health insurance contributions. Other reasons for rejection may include:

  • ~ Active bank accounts;
  • ~ Unsubmitted reports;
  • ~ Tax debts;
  • ~ Unfulfilled tax authority notifications.

 

Important Tax Payment Deadline

Entrepreneurs should remember that all taxes and social payments reflected in the liquidation reports must be paid within 10 calendar days from the date of submission.

Failure to meet this deadline may result in rejection of the automatic liquidation process.
