Company Registration Rules to Be Tightened - FCHAIN
October 7, 2025 — The Government of Kazakhstan held a meeting to discuss measures aimed at increasing transparency in the registration of legal entities.
New Criteria for Company Registration
Deputy Chairman of the Financial Monitoring Agency Kairat Bizhanov presented a draft amendment to the Rules for Registration of Legal Entities, developed jointly with the Ministry of Justice and the Ministry of Artificial Intelligence. He noted that the registration process will now take into account risk-based criteria related to the founders and directors of companies, including:
- Criminal record
- Alcohol and drug dependency
- Mental health disorders
- Presence in “black” and “gray” financial monitoring lists
According to Bizhanov, these measures will reduce the risk of creating fake companies used for suspicious financial transactions.
The Scale of the Problem
Over the past three years, the state revenue authorities have revoked the registration of more than 3,600 shell companies. These entities were involved in over 30,000 fictitious transactions totaling 280 billion tenge. Such firms were often used for tax evasion, money laundering, and concealing illegal activities.
Reform Objectives
The new rules aim to improve business transparency, protect law-abiding entrepreneurs, and strengthen the financial security of the country. Tightening registration procedures is expected to prevent illegal schemes at an early stage and enhance the international reputation of Kazakhstan’s business environment.
